Terms and Conditions

1. Scope
These General Terms and Conditions (GTC) govern all business relationships between Nima Salami Kazerouni, Varziner Str. 11, 12161 Berlin, Germany – hereinafter "Provider" – and clients in connection with services in the field of web development, web design and digital consulting. Any conflicting or deviating terms and conditions of the client shall not be recognised unless the Provider has expressly agreed to them in writing.
2. Subject matter
The Provider delivers services in web development, web design and technical consulting. The exact scope of services is defined in the respective offer or project agreement. Services presented on the website do not constitute a legally binding offer but a non-binding description.
3. Offer and conclusion of contract
Inquiries via the website or by email are non-binding. A contract is concluded only upon the Provider's written confirmation or upon signing a project agreement.
4. Remuneration and payment
Remuneration is based on the individually agreed offer. Unless otherwise agreed, invoices are due within 14 days of the invoice date. For portfolio freelance projects (free website in exchange for a testimonial), a separate written agreement applies.
5. Client cooperation obligations
The client shall provide all documents, access credentials and approvals required for project execution in a timely manner. Delays attributable to missing cooperation are not the Provider's responsibility.
6. Rights of use
Upon full payment, the Provider grants the client a simple, non-transferable right to use the created works, unless otherwise agreed. The Provider retains the right to reference the project as a portfolio reference unless explicitly objected to in writing.
7. Liability
The Provider is only liable for damages caused by intent or gross negligence. For minor negligence, liability is limited to breaches of material contractual obligations and capped at foreseeable, typical damages. Liability for indirect damages, lost profits or data loss is excluded to the extent permitted by law.
8. Warranty
The client must inspect delivered services for defects promptly after acceptance and report them in writing. The warranty period is 12 months from acceptance.
9. Confidentiality
Both parties shall treat confidential information of the other party strictly confidential and shall not disclose it to third parties without prior written consent.
10. Data protection
The processing of personal data in connection with inquiries and order handling is carried out in accordance with the privacy policy of this website.
11. Applicable law and place of performance
German law applies. Place of performance is Berlin. For disputes with merchants, legal entities under public law or special funds under public law, Berlin is agreed as the place of jurisdiction.
12. Severability clause
Should any provision of these GTC be invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid one that comes closest to the economic purpose.
